1. Agreement to Terms

By accessing or using the Momentum Sessions platform and services operated by Momentum Sessions LLC ("we," "us," or "our"), a company based in Orlando, Florida, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our platform.

2. Eligibility

• You must be at least 18 years of age to use our platform.
• Membership is by application only. We reserve the right to approve or deny any application at our sole discretion.
• You must provide accurate and complete information during the application and registration process.
• You are responsible for maintaining the confidentiality of your account credentials.

3. Membership

As a member of Momentum Sessions, you understand and agree that:

• Membership is personal and non-transferable.
• We may modify membership tiers, benefits, or pricing with reasonable notice.
• We reserve the right to suspend or terminate your membership at any time for violation of these terms or community guidelines.
• Upon termination, your access to the platform and member-only content will be revoked.

4. Community Guidelines

All members are expected to:

• Be Respectful: Treat all members with respect. Harassment, discrimination, personal attacks, or threatening behavior will result in immediate removal.
• Keep It Confidential: Conversations, deals, and personal information shared within the community are confidential. Do not share member content, discussions, or contact information outside the group without explicit consent.
• Add Value: Actively contribute to the community. Members who consistently take without giving may have their membership reviewed.
• No Spam or Solicitation: Do not use the platform for unsolicited advertising, MLM pitches, or mass outreach. Opportunities shared should be genuine and relevant.
• Act with Integrity: Conduct all business dealings with honesty and good faith. Misrepresentation of your business, credentials, or opportunities is grounds for removal.
• Respect Privacy: Do not screenshot, record, or redistribute content from private channels, messages, or events without permission.

5. User Content

• You retain ownership of content you post on the platform (posts, messages, profile information).
• By posting content, you grant us a non-exclusive, royalty-free license to display, distribute, and use your content within the platform for the purpose of operating the community.
• You are solely responsible for the content you post. Do not post content that is illegal, defamatory, infringing, or harmful.
• We reserve the right to remove any content that violates these terms or community guidelines.

6. Events

• Event details, including dates, locations, and availability, are subject to change.
• RSVPs may be limited by capacity. We reserve the right to manage attendance.
• You are responsible for your own conduct at events. Momentum Sessions is not liable for any interactions, agreements, or disputes that arise between members at events.
• Photography and recording policies will be communicated for each event. Respect the privacy preferences of other attendees.

7. Deals and Opportunities

Momentum Sessions provides a platform for members to share business opportunities, partnerships, and deals. We do not endorse, guarantee, or verify any opportunity posted by members. All business transactions are conducted directly between members at their own risk. We strongly recommend performing your own due diligence before entering into any business arrangement.

8. Intellectual Property

The Momentum Sessions name, logo, branding, website design, and proprietary content (including audio lessons, guides, and frameworks in our content library) are owned by Momentum Sessions LLC. You may not reproduce, distribute, or create derivative works from our proprietary content without written permission.

9. Limitation of Liability

To the fullest extent permitted by law, Momentum Sessions LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, attendance at events, or any business dealings with other members. Our total liability for any claim arising from these terms shall not exceed the amount you paid us in membership fees in the 12 months preceding the claim.

10. Disclaimer of Warranties

The platform and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components. We do not guarantee any specific business outcomes from membership.

11. Indemnification

You agree to indemnify and hold harmless Momentum Sessions LLC from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, violation of these terms, or infringement of any third party's rights.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the state or federal courts located in Orange County, Florida.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes via the platform or email. Your continued use of the platform after changes take effect constitutes acceptance of the revised terms.
